These Terms of Service ("Terms") govern your use of the Eudo Notes desktop application and related services (the "Service") provided by Eudo ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. The Service

Eudo Notes is a meeting intelligence application that records, transcribes, and analyzes meetings to help you prepare for conversations, capture insights, and build context across your meeting history.

2. Your Account

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. Audio Recording and Consent

The Service records audio during meetings, including audio from your microphone and your computer's system audio. You are solely responsible for obtaining any required consent from meeting participants before recording. Recording laws vary by jurisdiction; some require consent from all parties to a conversation. We are not responsible for your compliance with applicable recording laws.

4. Your Data

You retain ownership of all content you provide to the Service, including audio recordings, notes, and any other materials. We do not claim ownership of your data.

You grant us a limited license to process your data as necessary to provide the Service, including sending audio to transcription providers, processing transcripts through language models, and storing your data on our infrastructure.

5. Acceptable Use

You agree not to use the Service to: record conversations without required consent, violate any applicable law or regulation, infringe the rights of any third party, attempt to gain unauthorized access to the Service or its infrastructure, or interfere with the operation of the Service.

6. Third-Party Services

The Service integrates with third-party services including Google Calendar, AssemblyAI, and Anthropic. Your use of these integrations is subject to the respective terms and policies of those providers. We are not responsible for the availability or performance of third-party services.

7. Availability and Changes

We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify you of material changes.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ends and we may delete your data after a reasonable period, as described in our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Service uses artificial intelligence to generate transcripts, summaries, and other outputs. AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and verifying any outputs before relying on them.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including claims related to recording conversations without proper consent.

12. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of San Francisco County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on our website. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
